AAgreement to Terms of Service

These Terms of Service and conditions of use create a contract between you and Link Club, LLC (the "Agreement"). The Agreement explains the terms and conditions under which you may access and use the web and mobile platform provided by Link Club, LLC, including https://milink.club and the Link Club mobile application (collectively, the "Site").

Link Club reserves the right, at its sole discretion, to change, modify, add, or remove portions of this Agreement at any time. It is your responsibility to check this Agreement periodically for changes. Your continued use of the Site following the posting of changes means you accept and agree to the changes. Provided you comply with the terms of this Agreement, Link Club grants you a personal, non-exclusive, non-transferable, limited privilege to access and use the Site.

To access or use the Site, you must be able to form a legally binding contract with Link Club. You represent that you are at least 18 years of age and have the full right, power, and authority to enter into and comply with this Agreement on behalf of yourself and any company or legal entity for which you may access or use the Site.

You represent that you are not (1) the subject of economic or trade sanctions administered or enforced by any governmental authority, or otherwise designated on any list of prohibited or restricted parties, including the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury, or (2) a citizen, resident, or organized in a jurisdiction subject to comprehensive country-wide economic sanctions by the United States. You represent that your access and use of the Site fully complies with all applicable laws and regulations, and that you will not use the Site to conduct, promote, or facilitate any illegal activity.

BThe Link Club Platform

Link Club provides a web and mobile platform through which users can invest in fractional real estate through Florida-based limited liability companies (LLCs). The platform enables users to browse available properties, purchase fractional LLC membership interests, manage their investment portfolio, and buy and sell fractional interests on the peer-to-peer marketplace.

Each property available on the platform is held by a dedicated Florida LLC — a separate legal entity formed specifically for that property. When you purchase a fraction, you become a member of that LLC with rights proportional to the fraction you hold. Link Club structures the LLC, facilitates the closing process, and provides the platform through which transactions occur. Link Club does not purchase properties for resale to investors; rather, it sources properties through developer partnerships and facilitates a collective acquisition by the LLC members.

Link Club uses the Immutable X (IMX) blockchain as a permanent, tamper-proof record of LLC membership. Your ownership is recorded both in the LLC's Operating Agreement and on the IMX blockchain. This blockchain record is a verification and record-keeping mechanism — it does not constitute a cryptocurrency, digital asset, or tradeable token. Link Club does not operate a cryptocurrency exchange, decentralized protocol, or digital asset trading platform.

CAccount and Verification

To access the full features of the Site, you must create an account and complete identity verification (KYC — Know Your Customer). You will be required to provide a valid government-issued ID, proof of address, and basic personal information. Verification is required by applicable law for all investors, regardless of country of residence.

Link Club reserves the right to deny account registration or investment participation to users who do not meet verification requirements, who are residents of restricted jurisdictions, or whose information cannot be verified. See our FAQ for details on restricted jurisdictions.

You are solely responsible for maintaining the security and confidentiality of your account credentials. Link Club will never ask for your password. You agree to notify us immediately at support@milink.club of any unauthorized access to or use of your account. Link Club is not liable for any loss or damage arising from your failure to protect your account credentials.

DLLC Membership and Fractional Ownership

A "fraction" represents one membership unit in a property-specific Florida LLC. Purchasing a fraction makes you a member of that LLC, entitling you to your proportional share of net rental income (distributed monthly), potential property appreciation, and personal use rights as defined in the LLC's Operating Agreement.

Ownership is formalized in the LLC's Operating Agreement, which you are required to sign electronically before your ownership is recorded. The minimum investment is $20,000 per fraction. Each LLC issues 30 total membership units; one fraction represents 3.33% ownership.

Fractional ownership in a property LLC is not a security. You are purchasing a direct membership interest in a Florida LLC that holds title to a specific real property — not shares in a fund, not a financial instrument, and not a regulated investment product. Link Club does not broker securities and is not registered as a broker-dealer or investment adviser with the U.S. Securities and Exchange Commission.

IONICA World is designated as the property manager in each property LLC's Operating Agreement. IONICA World handles property operations, rental management, maintenance, and monthly income distribution on behalf of the LLC. As an LLC member, you have the rights set forth in the Operating Agreement, including the ability to vote on material changes with a majority of other members.

EMarketplace and Transactions

Pre-Linked Fractions (Primary Market)

Pre-linked fractions are available for properties whose Club is not yet complete. To purchase a pre-linked fraction, you reserve your fraction via a 1.5% credit card deposit, then wire the full investment amount to the closing escrow within 7 days. Link Club manages the escrow on behalf of the forming LLC. Funds are held in escrow until all 30 fractions are sold. At that point, the LLC closes on the property and all fractions become linked. If the Club does not reach full completion, all funds including the reservation deposit are refunded, less any bank transfer fees.

Linked Fractions (P2P Marketplace)

Linked fractions are active fractions resold by existing LLC members on the peer-to-peer marketplace. All listed fractions are Active — the Club is complete and the property is generating income. Buyer and seller coordinate directly via in-platform chat to agree on payment method and details. All payment is made directly between buyer and seller. Link Club does not handle, hold, or intermediate funds in P2P transactions.

Listing Fee

A listing fee of 2.5% of the asking price is charged upfront when a seller lists a fraction on the marketplace. The fee is not deducted from the sale proceeds. If the listing expires without a buyer, the listing fee is refunded.

Payment Responsibility

For P2P transactions, all money movement is between buyer and seller. Link Club is not a payment intermediary and does not guarantee, verify, or take responsibility for funds transferred between users. You are solely responsible for verifying all payment details before sending funds. Link Club is not liable for funds sent to incorrect accounts or addresses. In the event of a payment dispute, Link Club may review evidence and act as arbitrator — withholding the ownership transfer pending resolution — but is not liable for the outcome of any disputed payment.

All trades you submit through the Site are considered unsolicited — they are initiated solely by you. You have not received investment advice from Link Club in connection with any transaction, and Link Club does not conduct a suitability review of any trades you submit.

FIntellectual Property

The text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (the "Content"), including the design, structure, selection, coordination, expression, look and feel, and arrangement of Content on the Site, is owned, controlled, or licensed by or to Link Club, and is protected by copyright, patent, and trademark laws and other intellectual property and unfair competition laws. Subject to the terms of this Agreement, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Site solely in accordance with this Agreement.

Except as expressly provided in this Agreement, no part of the Site may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way to any other medium for publication or distribution or for any commercial enterprise without Link Club's express prior written consent.

You agree that you will not use, modify, distribute, tamper with, reverse engineer, disassemble, or decompile the Site for any purpose other than as expressly permitted by this Agreement. Except as set forth in this Agreement, we grant you no rights to the Site, including any intellectual property rights.

The Site may contain references or links to third-party resources, including information, materials, products, or services that Link Club does not own or control. We do not approve, monitor, endorse, warrant, or assume any responsibility for any such resources. You expressly release Link Club from any liability arising from your use of any third-party resources.

GUser Responsibilities

You may not use the Site for any purpose that is unlawful or prohibited by this Agreement, or to solicit the performance of any illegal activity or other activity that infringes the rights of Link Club or others.

You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site, by hacking, password mining, or other illegitimate means.

You may not probe, scan, or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site.

You may not conduct any activity involving data mining, robots, scraping, or similar data gathering or extraction methods from the Site.

You may not seek to defraud us or any other person or entity, including by providing any false, inaccurate, or misleading information to unlawfully obtain the property of another.

You may not infringe on or violate any copyright, trademark, service mark, patent, right of publicity, right of privacy, or other proprietary or intellectual property rights.

You may not seek to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other information technology system, including the deployment of viruses and denial of service attacks.

You may not buy, sell, or transfer fraudulently obtained items, items taken without authorization, or any other illegally obtained items.

You agree not to impose an unreasonable or disproportionately large load on the infrastructure of the Site or any systems or networks connected to it.

You may not conduct any activity that involves soliciting information from anyone under the age of 18 or that is otherwise harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, discriminatory, or otherwise objectionable.

HPrivacy

Link Club's Privacy Policy applies to your use of this Site, and its terms are incorporated into this Agreement by reference. To view the Privacy Policy, click here. By using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.

IModification of This Agreement

Link Club reserves the right, in its sole discretion, to modify this Agreement from time to time. If we make any material modifications, we will notify you by updating the date at the top of the Agreement and by maintaining a current version at https://milink.club/terms/. All modifications will be effective when posted, and your continued use of the Site will serve as confirmation of your acceptance of those modifications. IF YOU DO NOT AGREE WITH ANY MODIFICATION TO THIS AGREEMENT, YOU MUST IMMEDIATELY STOP ACCESSING AND USING THE SITE.

Link Club reserves the right, without notice, to modify, substitute, eliminate, or add to the Site; and to review, modify, filter, disable, delete, and remove any content and information from the Site.

JDisclaimers

We reserve the right to cooperate with any law enforcement, court, or government investigation or order, or third party requesting or directing that we disclose information or content that you provide.

The Site may not be available or appropriate for use in your jurisdiction. By accessing or using the Site, you agree that you are solely and entirely responsible for compliance with all laws and regulations that may apply to you.

You expressly agree that you assume all risks in connection with your access and use of the Site. You further expressly waive and release us from any and all liability, claims, causes of action, or damages arising from or in any way relating to your use of the Site.

KAssumption of Risk

By accessing and using the Site, you represent that you understand the inherent risks associated with real estate investment, including that property values may decline, rental income is not guaranteed, and past performance does not predict future results. You acknowledge that Link Club does not guarantee any investment performance, outcome, or return of capital.

You understand that real estate markets are affected by factors outside Link Club's control, including local market conditions, interest rates, economic cycles, regulatory changes, and property-specific events. The performance of any property on the platform — including rental income and appreciation — may be materially different from any projections or historical data presented.

You understand that smart contract transactions execute and settle automatically and that blockchain-based records are permanent and irreversible once confirmed. You acknowledge that once an ownership transfer is executed on the Immutable X blockchain, it cannot be reversed by Link Club or any other party.

You acknowledge that the performance of IONICA World as property manager, including its ability to maintain occupancy, collect rents, and distribute income, is not guaranteed by Link Club. Link Club is not liable for any acts or omissions of IONICA World or any other third-party service provider.

You acknowledge that Link Club is not responsible for any of these risks and cannot be held liable for losses arising from your investment in any LLC membership interest available on the Site. You assume full responsibility for all risks of accessing and using the Site and for all investment decisions you make.

LNo Warranties

The Site is provided on an "as is" and "as available" basis. Link Club disclaims any representations and warranties of any kind, whether express, implied, or statutory, including the warranties of merchantability and fitness for a particular purpose. You acknowledge and agree that your use of the Site is at your own risk.

Link Club does not represent or warrant that access to the Site will be continuous, timely, uninterrupted, or secure.

Link Club does not represent or warrant that the information on the Site is complete, accurate, reliable, or current.

Link Club does not represent or warrant that the Site is free from defects, errors, viruses, or other harmful factors.

No statement or information Link Club makes should be considered as creating a warranty regarding the Site. Link Club does not guarantee, endorse, or assume responsibility for any offers, advertisements, or statements made by third parties regarding the Site.

Link Club makes no warranties or representations, express or implied, about third-party services, including IONICA World's property management services or the Immutable X blockchain infrastructure. You acknowledge sole responsibility for and assume all risk arising from your use of third-party services, websites, applications, or resources.

MNo Investment Advice

Link Club does not provide investment advice, endorsement, or recommendations regarding any properties listed on the Site. Any information provided on the Site — including property descriptions, market reference data, historical rental income, or appreciation figures — is for informational purposes only and should not be construed as investment advice or a recommendation to invest.

Nothing on the Site should be construed as an offer to sell, a solicitation of an offer to buy, or a recommendation of a security or investment product.

You should consult with licensed legal professionals and investment advisors for any legal, tax, insurance, or investment advice. Link Club does not guarantee any investment performance, outcome, or return of capital for any property on the Site.

Before making any investment decision, you should review all available information and consult your tax and legal advisors. Any property-related information on the Site is from sources Link Club believes to be reliable, but Link Club makes no representation or warranty as to the accuracy or completeness of such information and accepts no liability therefrom.

NIndemnification

You agree to hold harmless, release, defend, and indemnify Link Club and its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries, and affiliates from and against all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (1) your access and use of the Site; (2) your violation of any term or condition of this Agreement, the rights of any third party, or any applicable law, rule, or regulation; (3) any other party's access and use of the Site with your assistance or using any device or account that you own or control; and (4) any dispute between you and any other user of the Site or any of your own customers or users.

OLimitation of Liability

Except where prohibited by law, in no event will Link Club be liable to you for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, even if Link Club has been advised of the possibility of such damages.

If, notwithstanding the other provisions of this Agreement, Link Club is found to be liable to you for any damage or loss arising out of or connected with your use of the Site, Link Club's liability shall in no event exceed US$100.00. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

Under no circumstances shall Link Club or any of its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries, or affiliates be liable for any direct, indirect, punitive, special, consequential, incidental, or exemplary damages arising out of or relating to your access, use, or inability to access or use the Site, including damages for loss of profits, goodwill, use, data, or other intangible property.

Link Club assumes no liability or responsibility for errors, mistakes, or inaccuracies of content; unauthorized access to or use of any secure server or database in Link Club's control; any interruption or cessation of function of the Site; bugs, viruses, or trojan horses that may be transmitted through the Site; or defamatory, offensive, or illegal conduct of third parties.

Link Club has no liability to you or to any third party for any claims or damages arising from payment transactions you engage in via the Site, including P2P marketplace transactions. Except as expressly provided herein, Link Club does not provide refunds for any purchases you make on the Site.

PViolation of Terms of Service

Link Club may disclose any information about you, including your identity, if Link Club determines that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact, or bring legal action against someone who may be causing injury to or interference with Link Club's rights or property, or the rights or property of visitors to or users of the Site.

Link Club reserves the right at all times to disclose any information that Link Club deems necessary to comply with any applicable law, regulation, legal process, or governmental request.

You acknowledge and agree that Link Club may preserve any transmittal or communication by you with Link Club through the Site, and may disclose such data if required to do so by law or if Link Club determines that such preservation or disclosure is reasonably necessary to comply with legal process, enforce this Agreement, respond to claims that any such data violates the rights of others, or protect the rights, property, or personal safety of Link Club, its employees, users, or the public.

You agree that Link Club may, in its sole discretion and without prior notice, terminate your access to the Site if we determine that you have violated this Agreement. You agree that any violation by you of this Agreement will constitute an unlawful and unfair business practice and will cause irreparable harm to Link Club, and you consent to Link Club obtaining any injunctive or equitable relief deemed necessary. These remedies are in addition to any other remedies Link Club may have at law or in equity.

If Link Club takes any legal action against you resulting from your violation of this Agreement, Link Club will be entitled to recover, and you agree to pay, all reasonable attorneys' fees and costs of such action, in addition to any other relief granted to Link Club.

QDispute Resolution and Governing Law

You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United States and the State of Florida without regard to conflicts of laws provisions. You agree to the personal jurisdiction and venue of the state and federal courts in Miami-Dade County, Florida, and waive any objection to such jurisdiction or venue.

Any claim under this Agreement must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. In the event of any controversy or dispute between Link Club and you, the parties shall attempt promptly and in good faith to resolve it. If we are unable to resolve any such dispute within thirty (30) days, then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then you and Link Club both agree to resolve it according to the process below:

Any claim or controversy arising out of or relating to the Site, this Agreement, or any other acts or omissions for which you may contend that we are liable shall be finally and exclusively settled by arbitration under the JAMS Optional Expedited Arbitration Procedures. You understand that you are required to resolve all disputes by binding arbitration. The arbitration shall be held on a confidential basis before a single arbitrator selected pursuant to JAMS rules. The arbitration will be held in Miami, Florida, unless you and we both agree to hold it elsewhere. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. If for any reason a claim must proceed in court rather than in arbitration, you agree to waive any right to a jury trial.

We will use our best efforts to resolve any potential disputes through informal, good faith negotiations. If a potential dispute arises, you must contact us by sending an email to support@milink.club so that we can attempt to resolve it without resorting to formal dispute resolution.

You must bring any disputes against us in your individual capacity and not as a plaintiff in or member of any purported class action, collective action, or other representative proceeding. You and we both agree to waive the right to demand a trial by jury.

RNotices and Miscellaneous

We may provide any notice to you under this Agreement using commercially reasonable means, including public communication channels or email. Notices provided through public communication channels will be effective upon posting.

You may not assign or transfer this Agreement, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer this Agreement without our prior written consent shall be null and void. We may freely assign or transfer this Agreement. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors, and permitted assigns.

Link Club is not registered with the U.S. Securities and Exchange Commission as a national securities exchange or in any other capacity. Fractional LLC membership interests available on the Site are not securities. Link Club does not broker securities, does not act as an investment adviser, and does not facilitate trading in financial instruments subject to SEC regulation.

If any provision of this Agreement is held by a court or other tribunal to be void or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of this Agreement, so that this Agreement shall remain in full force and effect.

These terms constitute the entire agreement between you and Link Club with respect to the subject matter hereof. This Agreement supersedes any and all prior or contemporaneous written and oral agreements, communications, and understandings relating to the subject matter of the terms. Link Club's failure to insist on or enforce strict performance of this Agreement shall not be construed as a waiver of any provision or right it has to enforce this Agreement.
