Terms of Service

These terms of service and conditions of use create a contract between you and Link, LLC (the “Agreement”). The Agreement explains the terms and conditions by which you may access and use the web or mobile based application provided by Link, LLC (referred to as “Link”). Link includes but is not limited to https://milink.club, a website-hosted user interface and mobile-based application (the “Site”) and a self-custody wallet embedded in the App (the “Link Wallet”). Please read this Agreement carefully as it governs your use of the Site. By accessing or using any part of the Site, you confirm you have read, understand and agree to be bound by this Agreement in its entirety. BY USING THE SITE, YOU AGREE TO THESE TERMS OF SERVICE AND CONDITIONS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

Link reserves the right, at its sole discretion, to change, modify, add or remove portions of the Agreement at any time. It is your responsibility to check the Agreement periodically for changes. Your continued use of the Site following the posting of changes means you accept and agree to the changes. Provided you comply with the terms of this Agreement, Link grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.

To access or use the Site, you must be able to form a legally binding contract with Link. As such, you represent that you are at least the age of majority in your jurisdiction (18 years old in the United States) and have the full right, power and authority to enter into and comply with the terms and conditions of this Agreement on behalf of yourself and any company or legal entity for which you may access or use the Site. If you are entering into this Agreement on behalf of an entity, you represent to us that you have the legal authority to bind such entity.

Furthermore, you represent that you are not (1) the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties, including, but not limited to, the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury, or (2) a citizen, resident, or organized in a jurisdiction or territory that is the subject of comprehensive country-wide, territory-wide, or regional economic sanctions by the United States. You represent that your access and use of the Site fully complies with all applicable laws and regulations, and that you will not access or use the Site to conduct, promote or otherwise facilitate any illegal activity.

The Link Wallet allows you to store digital assets, link to third party decentralized exchanges (“DEXs”) and third party decentralized applications, view addresses and information that are part of digital asset networks and broadcast transactions, participate in DEX trades and associated DEX activity and perform any additional services that we may add to the Link Wallet from time to time. This is a non-custodial wallet, which you may recover and use with any other Ethereum compatible wallet software.

When you use our Site, you may also be using the content, services or products of one or more third parties. Your use of such third-party content, services or products may be subject to separate policies, terms of use and fees of such third parties, and you agree to abide by and be responsible for such policies, terms of use and fees.

The text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code (referred to as the, “Content”), including, but not limited to, the design, structure, selection, coordination, expression, “look and feel” and arrangement of the Content on the Site is owned, controlled or licensed by or to Link, and is protected by copyright, patent and trademark laws and various other intellectual property rights and unfair competition laws. Subject to the terms of this Agreement, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to access and use the Site solely in accordance with this Agreement.

Except as expressly provided in this Agreement, no part of the Site may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way to any other computer, server, website or other medium for publication or distribution or for any commercial enterprise, without Link’s express prior written consent.

You agree that you will not use, modify, distribute, tamper with, reverse engineer, disassemble or decompile the Site for any purpose other than as expressly permitted pursuant to this Agreement. Except as set forth in this Agreement, we grant you no rights to the Site, including any intellectual property rights.

You understand and acknowledge that the Link Protocol is not the Site and we do not control the Link Protocol.

By using the Site including but limited to listing, posting, promoting or displaying NFT’s you grant Link a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, modify and display any content including, but not limited to, text, materials, images, files, communications, comments, feedback, suggestions, ideas, concepts, questions, data or otherwise, that you post on or through the Site for our current and future business purposes, including to provide, promote and improve the services. This license includes any digital file, art or other material linked to or associated with any NFT’s that are displayed. You grant to Link a non-exclusive, transferable, worldwide, perpetual, irrevocable, fully-paid, royalty-free license, with the right to sublicense, under any and all intellectual property rights that you own or control to use, copy, modify or create derivative works based upon any suggestions or feedback for any purpose.

You represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, power and authority necessary to grant the rights granted herein for any material that you list, post, promote or display on or through the Site including, but not limited to, NFT’s. You represent and warrant that such content does not contain material subject to copyright, trademark, publicity rights or other intellectual property rights, unless you have permission or are otherwise legally entitled to post the material and to grant us the license described above, and the content does not violate any laws.

The Site may contain references or links to third-party resources, including, but not limited to, information, materials, products or services that Link does not own or control. Also, third parties may offer promotions related to your access and use of the Site. We do not approve, monitor, endorse, warrant or assume any responsibility for any said resources or promotions. If you access any said resources or participate in any said promotions, you do so at your own risk and you understand that this Agreement does not apply to your dealings or relationships with any third parties. You expressly release Link of any and all liability arising from your use of any said resources or participation in any said promotions.

You may not use the Site or any Content for any purpose that is unlawful or prohibited by this Agreement, or to solicit the performance of any illegal activity or other activity which infringes the rights of Link or others.

You may not use the Site to conduct any activity that violates any applicable law, rule or regulation of the United States or another relevant jurisdiction, including, but not limited to, the restrictions and regulatory requirements imposed by U.S. law.

You may not attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site, or to any of the services offered on or through the Site by password “mining”, hacking or other illegitimate means.

You may not probe, scan or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site.

You may not conduct any activity involving data mining, robots, scraping or similar data gathering or extraction methods of content or information from the Site.

You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or any systems or networks connected to the Site or to Link.

You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.

You may not manipulate identifiers to disguise the origin of any message or transmittal you send to Link on or through the Site. You may not pretend that you are, or that you represent, someone else or impersonate any other individual or entity.

You may not infringe on or violate any copyright, trademark, service mark, patent, right of publicity, right of privacy or other proprietary or intellectual property rights under the law.

You may not seek to interfere with or compromise the integrity, security or proper functioning of any computer, server, network, personal device, or other information technology system, including, but not limited to, the deployment of viruses and denial of service attacks.

You may not seek to defraud us or any other person or entity, including, but not limited to, providing any false, inaccurate or misleading information to unlawfully obtain the property of another.

You may not violate any applicable law, rule or regulation concerning the integrity of trading markets, including, but not limited to, the manipulative tactics commonly known as “rug pulls”, pumping and dumping and wash trading.

You may not violate any applicable law, rule or regulation concerning the trading of securities or derivatives, including, but not limited to, the unregistered offering of securities and the offering of leveraged and margined commodity products to retail customers in the United States.

You may not buy, sell or transfer stolen items, fraudulently obtained items, items taken without authorization and/or any other illegally obtained items.

You may not conduct any activity that involves soliciting information from anyone under the age of 18 or that is otherwise harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful, discriminatory or otherwise objectionable.

You agree and understand that all trades you submit through the Site are considered unsolicited, which means that they are solely initiated by you. You have not received any investment advice from Link in connection with any trades, and Link does not conduct a suitability review of any trades you submit.

Link trades are completed using USD Coin (USDC cryptocurrency) and smart contracts on a blockchain. If you use a payment method other than USDC to submit a buy order for a traded property, then you agree to purchase an equivalent quantity of USDC at the then current exchange rate accessible to Link. That is, you agree that your currency will be converted to USDC, and your buy order will be executed using USDC. USDC is an attempt at 1:1 representation of the US dollar on the blockchain that may fluctuate in value. In the event that your order is canceled or expires, any unspent USDC will be returned to your Link Wallet, if you’ve initiated the trade using USDC, otherwise, the USDC funds will be returned to Link and your original payment method will be refunded automatically instead. If you later submit a sell order for your property tokens, and your sell order is filled, you will receive payment in USDC which can be converted to USD via third party cryptocurrency exchanges.

The Site is a non-custodial application which means Link does not ever have custody, possession or control of your digital assets at any time. It further means you are solely responsible for the custody of the cryptographic private keys to the digital asset wallets you hold and you should never share your wallet credentials or seed phrase with anyone. We accept no responsibility for, or liability to you, in connection with your use of a wallet and make no representations or warranties regarding how the Site will operate with any specific wallet. You are solely responsible for any associated wallet and we are not liable for any acts or omissions by you in connection with or as a result of your wallet being compromised.

This Agreement is not intended to, and does not, create or impose any fiduciary duties on Link. To the fullest extent permitted by law, you acknowledge and agree that Link owes no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed and waived. You further agree that the only duties and obligations that Link owes you are those set out expressly in this Agreement.

Blockchain transactions require the payment of transaction fees to the appropriate network known as Gas Fees. You are solely responsible to pay the Gas Fees for any transaction that you initiate via the Site.

Your use of the Site or the Link Protocol may result in various tax consequences, such as income or capital gains tax, value-added tax, goods and services tax or sales tax in certain jurisdictions. It is your responsibility to determine whether taxes apply to any transactions you initiate or receive and, if so, to report and/or remit the correct tax to the appropriate tax authority.

Link’s Privacy Policy applies to use of this Site, and its terms are made a part of this Agreement by this reference. To view Link’s Privacy Policy, click here. Also, by using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.

Link reserves the right, in our sole discretion, to modify this Agreement from time to time. If we make any material modifications, we will notify you by updating the date at the top of the Agreement and by maintaining a current version of the Agreement at https://www.milink.club/terms. All modifications will be effective when they are posted, and your continued accessing or use of the Site will serve as confirmation of your acceptance of those modifications. IF YOU DO NOT AGREE WITH ANY MODIFICATION TO THIS AGREEMENT, YOU MUST IMMEDIATELY STOP ACCESSING AND USING THE SITE.

Link reserves the following rights, which do not constitute obligations of ours with or without notice to you, to modify, substitute, eliminate or add to the Site, to review, modify, filter, disable, delete and remove any content and information from the Site.

We reserve the right to cooperate with any law enforcement, court or government investigation or order or third party requesting or directing that we disclose information or content or information that you provide.

The Site may not be available or appropriate for use in your jurisdiction. By accessing or using the Site, you agree that you are solely and entirely responsible for compliance with all laws and regulations that may apply to you.

You expressly agree that you assume all risks in connection with your access and use of the Site. You further expressly waive and release us from any liability, claims, causes of action or damages arising from or in any way relating to your use of the Site.

By accessing and using the Site, you represent that you are financially and technically sophisticated enough to understand the inherent risks associated with using cryptographic and blockchain-based systems, real estate ownership for investment purposes and you have knowledge of the usage and intricacies of digital assets such as Ethereum, stablecoins and other digital tokens.

You understand the markets for digital assets are nascent and volatile due to risk factors including, but not limited to, adoption, speculation, technology, security and regulation.

You understand that anyone can create a token, including fake versions of tokens and tokens that falsely claim to represent projects. You acknowledge and accept the risk that you may mistakenly trade fake tokens. You acknowledge stablecoins may not be stable, they may not be fully collateralized and may be subject to panics and runs.

You understand that smart contract transactions automatically execute and settle and blockchain based transactions are irreversible when confirmed. You acknowledge and accept the cost and speed of transacting with cryptographic and blockchain based systems such as Ethereum could be variable and may increase dramatically at any time. You acknowledge and accept the risk of selecting to trade using the Site which can expose you to potentially significant price slippage and higher costs.

If you act as a liquidity provider to the Link Protocol through the Site, you understand that your digital assets may lose some or all of their value while they are supplied to the Link Protocol through the Site due to the fluctuation of prices of tokens in a trading pair or liquidity pool.

You understand we do not create, own or operate cross-chain bridges and we do not make any representation or warranty about the safety or soundness of any cross-chain bridge including its use for Link Governance.

You acknowledge Link is not responsible for any of these variables or risks, Link does not own or control the Link Protocol, and Link cannot be held liable for any losses while accessing or using the Site. You understand and agree to assume full responsibility for all the risks of accessing and using the Site to interact with the Link Protocol.

The Site is provided on an “as is” and “as available” basis. Link disclaims any representations and warranties of any kind, whether express, implied or statutory including, but not limited to, the warranties of merchantability and fitness for a particular purpose. You acknowledge and agree that your use of the Site is at your own risk.

Link does not represent or warrant that access to the Site will be continuous, timely, uninterrupted or secure.

Link does not represent or warrant the information on the Site is complete, accurate, reliable or current.

Link does not represent or warrant the Site is free from defects, errors, viruses or other harmful factors.

No statement or information Links makes should be considered as creating a warranty regarding the Site. Link does not guarantee, endorse or assume responsibility for any offers, advertisements or statements made by third parties regarding the Site.

The Link Protocol is provided “as is”, at your own risk and without warranties of any kind. Link does not own or control the Link Protocol which is run autonomously by smart contracts deployed on the Ethereum blockchain. Upgrade and modifications to the Link Protocol are managed in a community driven manner by holders of the Link Governance Token. No developer or entity involved in creating the Link Protocol will be liable for any claims or damages whatsoever associated with your use, inability to use or your interactive with other users of the Link Protocol including any direct, indirect, special, incidental, exemplary, punitive or consequential damages, or loss of profits, cryptocurrencies, tokens or anything else of value. Link does not guarantee, endorse or assume responsibility for any offers, advertisements or statements made by third parties regarding the Link Protocol.

Automated smart contracts will process any payments or financial transactions you engage in. Once executed, Link has no control over the payments or transactions and Link has no ability to reverse any payments or transactions.

Link makes no warranties or representations express or implied about third party services. Link makes no warranties or representations express or implied about the suitability, privacy or security of the third party sites or services. You acknowledge sole responsibility for and assume all risk arising from your use of third party services, websites, applications or resources.

Link may provide information about tokens on the Site sourced from third party data partners. Link may also provide warning labels for certain tokens. The provision of informational material does not make trades in those tokens solicited. Link is not attempting to induce you to purchase by providing said information. Any information provided on the Site is for informational purposes only and should not be construed as investment advice or a recommendation regarding the investment quality of a token. You should refrain from taking any action based on the information contained in the Site without conducting additional due diligence on your own and seeking legal, investment and tax advice. By providing token information, Link does not make investment recommendations to you or provide an opinion on any transaction or opportunity. You alone are responsible for determining whether an investment or transaction is appropriate for you based on your personal investment objectives, financial circumstances and risk tolerance.

Link does not provide investment advice, endorsement or recommendations regarding any properties listed on the Site.

Nothing on the Site should be construed as an offer to sell, solicit an offer to buy or sell or recommend a security.

You should consult with licensed legal professionals and investment advisors for any legal, tax, insurance or investment advice. LINK does not guarantee any investment performance, outcome, or return of capital for any property posted on the Site.

Before making an investment decision, you should review all available information and consult your tax and legal advisors.

Any and all investment related or property related information on the Site is from sources Link believes to be reliable but Link makes no representations or warranties as to the accuracy or completeness of such information and accept no liability therefrom.

You agree to hold harmless, release, defend and indemnify Link and its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates from and against all claims, damages, obligations, losses, liabilities, costs and expenses arising from (1) your access and use of any of the Site, (2) your violation of any term or condition of this Agreement, the right of any third party, or any other applicable law, rule or regulation, (3) any other party’s access and use of any of the Site with your assistance or using any device or account that you own or control and (4) any dispute between you and any other user of any of the Site or any of your own customers or users.

Except where prohibited by law, in no event will Link be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if Link has been advised of the possibility of such damages.

If, notwithstanding the other provisions of this Agreement, Link is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Site, Link’s liability shall in no event exceed the US$100.00. Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.

Under no circumstances shall Link or any of Link’s officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries or affiliates be liable to you for any direct, indirect, punitive, special, consequential, incidental or exemplary damages including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible property arising out of or relating to any access or use or inability to access or use the Site. Link will not be responsible for any damage, loss or injury from hacking, tampering or other unauthorized use of the Site or the information contained on the Site, whether such damages are based in contract, tort, negligence, strict liability or otherwise, arising out of or in connection with authorized or unauthorized use of the Site, even if an authorized representative of Link has been advised of or knew or should have known of the possibility of damages.

Link assumes and accepts no liability or responsibility for any errors, mistakes or inaccuracies of content, unauthorized access or use of any secure server or database in Link’s control, or the use of any information or data stored therein.

Link assumes and accepts no liability or responsibility for any interruption or cessation of function of the Site or Link Protocol, bugs, viruses, trojan horses that may be transmitted to or through the Site.

Link assumes and accepts no liability or responsibility for any errors or omissions in the Site, or for any loss or damages incurred as a result of the use of or from any content made available through the Site.

Link assumes and accepts no liability or responsibility for defamatory, offensive or illegal conduct of third parties.

Link has no liability to you or to any third party for any claims of damages that may arise as a result of any payments or transactions you engage in via the Site or any other payment or transactions you conduct via the Cite. Except as expressly provided herein, Link does not provide refunds for any purchases that you make on the Site.

Link is not liable under any circumstances for damages arising out of or in any way related to software, products, services and/or information offered or provided by third parties and accessed through our Site.

Link may disclose any information about you including your identity if Link determines that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with Link’s rights or property, or the rights or property of visitors to or users of the Site.

Link reserves the right at all times to disclose any information that Link deems necessary to comply with any applicable law, regulation, legal process or governmental request. Link may also disclose your information when Link determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

You acknowledge and agree that Link may preserve any transmittal or communication by you with Link through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or Link determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce this Agreement, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of Link, its employees, users of or visitors to the Site, and the public.

You agree that Link may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated this Agreement or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of this Agreement will constitute an unlawful and unfair business practice, and will cause irreparable harm to Link, for which monetary damages would be inadequate, and you consent to Link obtaining any injunctive or equitable relief that Link deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Link may have at law or in equity.

You agree that Link may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes but is not limited to (1) requests by law enforcement or other government agencies, (2) a request by you self-initiated account deletions, (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems.

If Link does take any legal action against you resulting from your violation of this Agreement, Link will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Link. You agree that Link will not be liable to you or to any third party for termination of your access to the Site resulting from any violation of this Agreement.

You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United States and by the laws of the State of Florida without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Miami-Dade County, Florida, and waive any objection to such jurisdiction or venue.

Any claim under this Agreement must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. In the event of any controversy or dispute between Link and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then you and Link both agree to resolve the potential dispute according to the process set forth below:

Any claim or controversy arising out of or relating to the Site, this Agreement or any other acts or omissions for which you may contend that we are liable, including, but not limited to, any claim or controversy as to arbitrability, shall be finally and exclusively settled by arbitration under the JAMS Optional Expedited Arbitration Procedures. You understand that you are required to resolve all Disputes by binding arbitration. The arbitration shall be held on a confidential basis before a single arbitrator, who shall be selected pursuant to JAMS rules. The arbitration will be held in Miami, Florida, unless you and we both agree to hold it elsewhere. Unless we agree otherwise, the arbitrator may not consolidate your claims with those of any other party. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. If for any reason a claim by law or equity must proceed in court rather than in arbitration you agree to waive any right to a jury trial.

We will use our best efforts to resolve any potential disputes through informal, good faith negotiations. If a potential dispute arises, you must contact us by sending an email to info@milink.club so that we can attempt to resolve it without resorting to formal dispute resolution.

You must bring any Disputes against us in your individual capacity and not as a plaintiff in or member of any purported class action, collective action, private attorney general action or other representative proceeding. This provision applies to class arbitration. You and we both agree to waive the right to demand a trial by jury.

We may provide any notice to you under this Agreement using commercially reasonable means, including using public communication channels. Notices we provide by using public communication channels will be effective upon posting.

You may not assign or transfer this Agreement, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer this Agreement without our prior written consent shall be null and void. We may freely assign or transfer this Agreement. Subject to the foregoing, this Agreement will bind and insure to the benefit of the parties, their successors and permitted assigns.

We are not registered with the U.S. Securities and Exchange Commission as a national securities exchange or in any other capacity. You understand and acknowledge that we do not broker trading orders on your behalf. We do not facilitate the execution or settlement of your trades, which occur entirely on Ethereum distributed blockchains. Link does not and cannot guarantee market best pricing or best execution through the Site. Any reference on the Site to “best price” does not constitute a representation or warranty about pricing available through the Site, on the Link Protocol, or elsewhere.

If any of the provisions of this Agreement is held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of this Agreement, so that this Agreement shall remain in full force and effect. The validity or enforceability of any other provision of this Agreement shall not be affected.

These terms constitute the entire agreement between you and Link with respect to the subject matter hereof. This Agreement supersedes any and all prior or contemporaneous written and oral agreements, communications and other understandings relating to the subject matter of the terms. Link will not accept any counter-offers to this Agreement, and all such offers are hereby categorically rejected. Link’s failure to insist on or enforce strict performance of this Agreement shall not be construed as a waiver by Link of any provision or any right it has to enforce this Agreement, nor shall any course of conduct between Link and you or any other party be deemed to modify any provision of this Agreement. This Agreement shall not be interpreted or construed to confer any rights or remedies on any third parties.
